Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Apprise LLP ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and clients who access our website or engage our services.

2. Services

Apprise LLP provides IT consulting, software development, web and mobile application development, AI integration, automation services, and related digital solutions. The specific scope, deliverables, timeline, and fees for each project will be outlined in a separate Service Agreement or Statement of Work (SOW).

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to requests and approvals in a timely manner
• Ensure you have the right to provide any materials, data, or content for the project
• Review deliverables and provide feedback within agreed timeframes
• Make payments according to the agreed schedule

4. Payment Terms

Payment terms will be specified in the Service Agreement. Generally:

• A deposit or advance payment may be required before project commencement
• Milestone-based payments may apply for larger projects
• Final payment is due upon project completion and delivery
• Late payments may incur interest charges

5. Intellectual Property

Upon full payment, the client receives ownership of the custom-developed deliverables as specified in the Service Agreement. We retain the right to use:

• General knowledge, skills, and experience gained during the project
• Pre-existing tools, frameworks, and libraries
• Generic code components not specific to the client's business

The client retains ownership of all materials, data, and content they provide for the project.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the engagement. This obligation continues for a period of 3 years after the termination of services.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a reasonable warranty period for bug fixes and defects, typically 30-90 days post-delivery, as specified in the Service Agreement.

EXCEPT AS EXPRESSLY STATED, WE PROVIDE SERVICES "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate the Service Agreement with written notice as specified in the agreement. Upon termination:

• The client must pay for all work completed up to the termination date
• We will deliver all completed work and work-in-progress
• Both parties will return or destroy confidential materials as requested

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, government actions, or widespread infrastructure failures.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kharagpur, West Bengal, India.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
